Standard Terms of Service

1. Introduction

These Terms of Service govern the provision of website design, SSL, support, Accessibility and related digital services by Media Fizz Digital / GP-X Web Design & Technology. These Terms apply to all clients using our services.

2. Acceptance of Terms

By:

• continuing to use our services
• making payment (including by standing order)
• requesting or approving work

the client is deemed to have accepted these Terms in full.

3. Service Structure

All services are provided on a minimum 12-month basis and continue thereafter on a rolling annual basis unless otherwise agreed in writing.

Monthly payments are provided solely as an instalment facility for annual services and do not constitute a monthly contract.

4. Payment Terms

• Fees are agreed annually
• Payments are due within 28 days
• Standing orders or monthly payments are accepted as a payment method only.
• Failure to maintain payments may result in suspension of services.

5. Standing Orders

Where a client pays monthly:

• this is an instalment arrangement only,
• it does not alter the annual nature of the agreement,
• the client remains liable for the full annual service fee.

6. Notice of Termination

Clients must provide:

Minimum 90 Days written notice

• services continue during notice
• Payments must remain up to date

Termination will not take effect until all outstanding amounts are settled.

7. Financial Liability

Because services are contracted on a minimum 12-month basis and continue thereafter on a rolling annual basis:

• Full annual fee remains payable
• on termination, any outstanding balance required to complete the greater of:
  a] the minimum 12-month term, or
  (b) the current annual service period

shall become immediately due and payable in full

The 90-day notice period governs the notice required to end service, but does not reduce or replace the client’s financial liability for the annual service commitment.

8. Development Work

Participation in redesign, redevelopment, content restructuring, or other substantive project work confirms continuation of the service arrangement and acceptance of the annual service basis.

9. Ongoing Services

Ongoing services may include, where applicable

• Maintenance
• Updates
• Support

10. Suspension

Services may be suspended where payments are overdue or terms are not met.

11. Handover

Transition support is provided subject to full settlement of outstanding amounts.

12. Recovery

Outstanding sums may be recovered through formal proceedings, including fees and interest.

13. Amendments

We may update these Terms from time to time. Continued use of services following publication of updated Terms constitutes acceptance of those revised Terms.
